Terms of Service

These Terms of Service ("Terms") govern your access to and use of Agents Memory ("Service"), operated by Autonos Inc. ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
1. Description of Service
Agents Memory is a software-as-a-service (SaaS) memory infrastructure platform that enables developers and businesses to provide AI agents with persistent, retrievable, and evolving memory across user sessions. The Service includes API access, SDKs, a management dashboard, and supporting documentation.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service. The Service is intended for business and developer use; it is not directed at consumers for personal use.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and API keys. You must notify us immediately at legal@autonos.ai if you suspect unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account.
4. Acceptable Use
You agree not to use the Service to:
Store or process data in violation of applicable laws, including privacy regulations;
Transmit or store content that is unlawful, harassing, defamatory, or abusive;
Circumvent rate limits, access controls, or usage quotas;
Reverse-engineer, decompile, or attempt to extract the source code of the Service;
Resell or sublicense API access without our prior written consent;
Use the Service to build a product that competes directly with Agents Memory without disclosure;
Introduce malicious code, perform denial-of-service attacks, or disrupt the Service for others.
We reserve the right to suspend or terminate accounts that violate these restrictions, without notice and without refund.
5. API Usage and Rate Limits
Access to the Service is subject to the rate limits and usage quotas described in your subscription plan. Exceeding limits may result in throttling, temporary suspension of API access, or additional charges. We may adjust rate limits at any time with reasonable notice. Excessive or abusive API usage that degrades service quality for other customers may result in immediate suspension.
6. Memory Data and Your Content
"Memory Data" means the agent interaction logs, extracted facts, user profiles, conversation context, and any other information you or your end users submit to the Service.
You retain all ownership rights to your Memory Data. By submitting Memory Data to the Service, you grant Autonos Inc. a limited, non-exclusive, worldwide licence to process and store that data solely to provide and improve the Service. We do not use your Memory Data to train machine learning models without your explicit consent.
You are responsible for ensuring that any personal data within your Memory Data is processed in accordance with applicable privacy laws, and that you have obtained all necessary consents from your end users.
7. Data Retention and Deletion
Memory Data is retained for the duration of your subscription and for up to 90 days after account closure or termination, after which it is permanently deleted. You may request earlier deletion of your Memory Data by contacting legal@autonos.ai. Deletion requests are processed within 30 days.
We strongly recommend exporting your Memory Data before closing your account. We are not liable for data loss following account closure.
8. Intellectual Property
The Service, including its architecture, algorithms, software, design, and documentation, is the exclusive property of Autonos Inc. and is protected by intellectual property laws. Nothing in these Terms grants you ownership of the Service or any part of it. Feedback or suggestions you provide regarding the Service may be used by us freely without obligation to you.
9. Fees and Payment
Free tier access is provided subject to the limits described on our Pricing page. Paid plans are billed monthly or annually in advance. All fees are non-refundable except where required by law. We may change pricing with 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
Failure to pay may result in suspension of your account. Accounts suspended for non-payment for more than 60 days may be terminated and data permanently deleted.
10. Confidentiality
Each party agrees to keep the other's confidential information private and to use it only in connection with the Service. Your Memory Data is treated as your confidential information. Our non-public API internals and pricing are treated as our confidential information. Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
AI-assisted memory retrieval may produce inaccurate, incomplete, or outdated results. You are solely responsible for validating outputs before using them in production systems.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTONOS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Autonos Inc. and its affiliates from any claims, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Memory Data; (c) your breach of any representations; or (d) your violation of any third-party rights.
14. Term and Termination
These Terms remain in effect for the duration of your account. You may terminate at any time by deleting your account. We may suspend or terminate your access if you violate these Terms, fail to pay, or if required by law. On termination, your right to use the Service ceases immediately. Sections 6, 8, 11, 12, 13, and 15 survive termination.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
16. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
